BuildExitReady is a brand and advisory division of 7MILLS Equity Partners B.V., a private limited company incorporated under Dutch law, registered with the Chamber of Commerce (no. 98530828), with its registered office at Ooldselaan 11, 7245PP Laren, The Netherlands.

These Terms of Service govern your use of the BuildExitReady website at buildexitready.com and any advisory services we provide. By accessing our website or engaging our services, you agree to these terms.

2. Our services

BuildExitReady provides business exit planning advisory services to owner-managed businesses, including but not limited to:

• The 7 Mills Score assessment
• The Foundation Programme — an 8-week audit and documentation engagement
• The Build Programme — an ongoing monthly advisory retainer
• Mill Diagnostic — targeted single-dimension assessments
• Educational content, guides, and resources published on this website

The specific scope, deliverables, fees, and terms for each service engagement are set out in a separate engagement letter or statement of work agreed between us and the client.

3. Website use

You may use this website for lawful purposes only. You agree not to:

• Use the website in any way that violates applicable local, national, or international law or regulation
• Transmit unsolicited or unauthorised advertising material
• Knowingly transmit any data or material that contains viruses or harmful code
• Attempt to gain unauthorised access to any part of the website or its related systems
• Reproduce, duplicate, or resell any part of our website or its content without written permission

4. Intellectual property

All content on this website — including text, graphics, logos, methodologies, frameworks, and the 7 Mills Score — is the intellectual property of 7MILLS Equity Partners B.V. or its licensors and is protected by applicable copyright and intellectual property laws.

You may not copy, reproduce, modify, distribute, or create derivative works from any content on this website without our express prior written consent.

Deliverables created during an advisory engagement are provided to the client for their own internal business use. All underlying frameworks, scoring methodologies, and proprietary tools remain the property of 7MILLS Equity Partners B.V.

5. Fees and payment

Fees for advisory services are as set out in the engagement letter or as published on this website. Unless otherwise agreed:

• The Foundation Programme fee is payable in full prior to commencement
• Build Programme retainer fees are payable monthly in advance
• All fees are exclusive of VAT, which will be charged at the applicable rate
• Invoices are payable within 14 days of issue
• Late payment may result in suspension of services and interest charged at the statutory Dutch commercial rate

6. Disclaimers

Our advisory services are provided for informational and strategic purposes. We are not a regulated financial adviser, investment firm, law firm, or accountancy practice. Nothing we produce constitutes financial advice, legal advice, or a guarantee of any specific outcome.

Business exit outcomes depend on many factors outside our control, including market conditions, buyer appetite, and the actions of third parties. We make no representations or warranties regarding the value achievable upon sale of any business.

This website and its content are provided "as is". We make no warranties, express or implied, about the completeness, accuracy, or fitness for any particular purpose of the information provided.

7. Limitation of liability

To the fullest extent permitted by Dutch law, 7MILLS Equity Partners B.V. shall not be liable for any indirect, incidental, special, or consequential losses arising from your use of this website or our advisory services, including but not limited to loss of profit, loss of business, or loss of anticipated savings.

Our total aggregate liability in connection with any engagement shall not exceed the total fees paid by you in the three months preceding the event giving rise to the claim.

8. Confidentiality

Both parties agree to treat as confidential all non-public information received in the course of our advisory relationship. This obligation survives termination of the engagement. Neither party will disclose the other's confidential information to third parties without prior written consent, except as required by law.

9. Termination

Either party may terminate an advisory engagement by giving 30 days' written notice. Upon termination, any fees for work completed to the date of termination remain payable. The Foundation Programme fee is non-refundable once work has commenced.

We reserve the right to suspend or terminate access to this website at any time without notice.

10. Governing law and disputes

These Terms of Service are governed by the laws of the Netherlands. Any disputes arising from or in connection with these terms shall be submitted to the exclusive jurisdiction of the competent court in Gelderland, the Netherlands.

We will always attempt to resolve disputes amicably before initiating formal proceedings.

11. Changes to these terms

We may update these Terms of Service from time to time. The most current version will always be available on this page. Continued use of our website or services after any changes constitutes acceptance of the revised terms.
